These Terms apply to all users, including visitors, registered users, and others who wish to access or use our Services.

We reserve the right to modify these Terms at any time. Any changes will be effective immediately upon posting the revised Terms on our website, with an updated "Last Updated" date. Your continued use of the Services after such modifications constitutes your acceptance of the new Terms. We encourage you to periodically review the Terms to stay informed about any updates.

3. Description of Services

OgaBot AI offers advanced artificial intelligence tools designed to assist Nigerian users in various applications, including but not limited to content creation, data analysis, customer support, and more. Our Services are accessible through our website and mobile applications, providing seamless and efficient AI-driven solutions tailored to meet the unique needs of our Nigerian clientele.

4. User Accounts

4.1. Registration

To access certain features of the Services, you may need to create an account. You agree to provide accurate, current, and complete information during the registration process and to update such information to keep it accurate. Failure to provide accurate information may result in the suspension or termination of your account.

4.2. Security

You are responsible for maintaining the confidentiality of your account credentials, including your password. You agree to notify OgaBot AI immediately of any unauthorized use of your account. OgaBot AI is not liable for any loss or damage arising from your failure to protect your account information.

4.3. Account Responsibilities

You are responsible for all activities that occur under your account. You agree to notify us immediately of any breach of security or unauthorized use of your account. OgaBot AI reserves the right to refuse service, terminate accounts, remove or edit content, or cancel orders at our sole discretion.

5. Payment and Billing

5.1. Pricing

All Services are priced in Nigerian Naira (₦). OgaBot AI reserves the right to modify its pricing structure at any time. Any changes in pricing will be communicated to users in advance through our website or via email notifications.

5.2. Payment Methods

Payments for Services can be made through approved payment gateways that support transactions in Naira. By providing your payment information, you authorize OgaBot AI to charge the specified amount for the Services to your chosen payment method.

5.3. Billing Cycle

Some Services are billed on a subscription basis (“Subscription(s)”). Subscriptions are billed in advance on a recurring and periodic basis (“Billing Cycle”). Billing cycles may be set on a monthly or annual basis, depending on the subscription plan you select.

5.4. Automatic Renewal

At the end of each Billing Cycle, your Subscription will automatically renew under the same conditions unless you cancel it or OgaBot AI cancels it. You may cancel your Subscription renewal through your online account management page or by contacting our customer support team.

5.5. Failed Payments

If automatic billing fails for any reason, OgaBot AI will issue an electronic invoice indicating that you must manually proceed with the full payment corresponding to the billing period as indicated on the invoice within a specified deadline.

5.6. Refund Policy

Refunds are issued at the discretion of OgaBot AI and are subject to our Refund Policy, which can be reviewed here. Refund requests must be made within seven (3) days of the original purchase and are contingent upon usage conditions being met, such as words usage being less than 2,000 Premium quality or equivalent words for any of our paid plans.

6. Free Trial

OgaBot AI may, at its sole discretion, offer a Subscription with a free trial period (“Free Trial”). You may be required to enter your billing information to sign up for the Free Trial.

  • No Charges During Trial: If you provide payment information when signing up for the Free Trial, you will not be charged until the Free Trial period expires. On the last day of the Free Trial period, unless you cancel your Subscription, you will be automatically charged the applicable Subscription fees for the selected plan.

  • Modification and Cancellation: OgaBot AI reserves the right to modify the Terms of the Free Trial offer or cancel the Free Trial offer at any time without notice.

7. Subscriptions

7.1. Subscription Plans

OgaBot AI offers various subscription plans tailored to different user needs, including Basic, Pro, and Enterprise plans. Each plan offers different levels of access and features to accommodate personal, business, and enterprise requirements.

7.2. Custom Plans

For users with specific needs, OgaBot AI offers custom plans. Users can request a custom plan by contacting our sales team, and OgaBot AI will work with you to create a plan that fits your unique requirements.

8. Usage and Access

8.1. License Grant

OgaBot AI grants you a limited, non-exclusive, non-transferable, revocable license to access and use the Services for personal or internal business purposes in accordance with these Terms.

8.2. Prohibited Activities

You agree not to:

  • Use the Services for any unlawful purpose or in violation of any local, state, national, or international law.
  • Exploit, harm, or attempt to exploit or harm minors by exposing them to inappropriate content.
  • Transmit, or procure the sending of, any unsolicited or unauthorized advertising or promotional material, including "spam."
  • Impersonate any person or entity or falsely state or misrepresent your affiliation with a person or entity.
  • Interfere with or disrupt the integrity or performance of the Services.
  • Attempt to gain unauthorized access to the Services, other user accounts, or computer systems.
  • Use any automated means, including robots or spiders, to access the Services for any purpose without our express written permission.
  • Introduce any malicious code or software into the Services.

8.3. Service Availability

While OgaBot AI strives to provide continuous and uninterrupted access to the Services, we do not guarantee that the Services will be available at all times or free from errors. Maintenance, upgrades, or other factors may affect availability.

  • Appropriate Usage: Users are encouraged to select plans that align with their professional needs and business size. High-usage users should consider upgrading to more robust plans, requesting custom plans, or utilizing our business API.

  • Monitoring: Our system monitors for automated or robotic behavior to maintain service safety and quality. Excessive usage or sharing of login details may lead to account suspension or termination without prior notice and without refunds.

  • Consequences of Overuse: Exceeding defined usage parameters may result in restricted or reduced access to the Services. OgaBot AI reserves the right to take necessary actions to protect the interests of all users and ensure uniform access to the Services.

15. No Use By Minors

The Services are intended only for individuals who are at least eighteen (18) years old. By accessing or using OgaBot AI, you represent and warrant that you are at least eighteen (18) years old and have the legal capacity to enter into these Terms. If you are not at least eighteen (18) years old, you are prohibited from both accessing and using the Services.

You may provide OgaBot AI with feedback, suggestions, or error reports regarding the Services (“Feedback”). By submitting Feedback, you grant OgaBot AI a non-exclusive, transferable, sublicensable, royalty-free, and perpetual right to use, modify, and incorporate the Feedback into the Services without any obligation to compensate you.

Important: Feedback should not contain confidential information or proprietary data. OgaBot AI is not obligated to keep Feedback confidential and may use it for any purpose.

The Services are provided on an “as is” and “as available” basis. OgaBot AI makes no warranties, express or implied, regarding the Services, including but not limited to warranties of merchantability, fitness for a particular purpose, non-infringement, or course of performance.

OgaBot AI does not warrant that the Services will be error-free, secure, or free from viruses or other harmful components. The Services are provided without warranties of any kind, whether express or implied.

19. Limitation of Liability

To the fullest extent permitted by Nigerian law, OgaBot AI shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, use, goodwill, or other intangible losses, resulting from:

  • Your access to or use of or inability to access or use the Services.
  • Any conduct or content of any third party on the Services.
  • Any content obtained from the Services.
  • Unauthorized access, use, or alteration of your transmissions or content.

OgaBot AI's total liability for any claim arising out of or relating to these Terms or the Services shall not exceed the amount you have paid OgaBot AI in the twelve (12) months preceding the claim.

You agree to defend, indemnify, and hold harmless OgaBot AI, its affiliates, and their respective officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses, including reasonable attorneys' fees and costs, arising out of or in any way connected with:

28. Subscription Management

28.1. Managing Subscriptions

28.2. Cancellation Policy

You may cancel your Subscription at any time. Upon cancellation, you will continue to have access to the Services until the end of the current Billing Cycle. No refunds will be issued for partial Billing Cycles.
